McKinney Babes in Business LLC AKA Women's Global Empire Membership Agreement

This membership agreement ("Membership Agreement") outlines the agreement between you and McKinney Babes in Business LLC ("MBB"). You must read this Membership Agreement and the McKinney Babes in Business Privacy Policy available at www.mckinneybabesinbusiness.com or www.gwebabes.com, accept their terms, and complete this form to initiate your membership approval process.

1. Membership Types and Rates

a. Founding Members. The first 40 women to join MBB are our Founding Members. Founding membership is $199/year. 

b. Monthly members. Monthly membership is $29.99 per month.

c. Annual members. Annual membership is $299/year.

2. Terms, Duration, And Payment

Membership lasts for one year from the date of submitting paperwork and payment. Members must provide accurate registration information and are responsible for unauthorized use. Members must pay all fees and charges, including applicable state taxes. Excluding Founding Members, membership fees are subject to change, but members will be notified at least 30 days in advance.

Auto-Renewal: Membership auto-renews unless MBB is notified in writing 30 days before the end of the current period. Additional costs for services are not included in the membership fee.

Membership does not grant any ownership or administrative rights in MBB. MBB may contact members for promotional purposes, but members can opt out of promotional materials. Members must treat all MBB employees and service providers respectfully and legally. MBB will handle personal information as described in its Privacy Policy, compliant with applicable privacy laws.

3. Membership Qualifications

• Members must be at least 18 years old.
• MBB reserves the right to approve or deny membership applications in its sole discretion.
• Members must abide by the MBB Rules and Code of Conduct and the MBB Privacy Policy.

4. Membership Cancellation

Members can cancel with 30 days' written notice by emailing mckinneybabesinbusiness@gmail.com. MBB reserves the right to terminate memberships immediately for non-compliance, non-payment, or violation of this agreement. Terminated members forfeit all membership benefits and fees paid are non-refundable.

5. Assignment

Members cannot transfer, assign, or resell their rights or obligations under this agreement without MBB's prior written consent.

6. Event Participation and Alcohol Consumption

Members acknowledge and agree that:

a) Participation in MBB events where alcohol is served or permitted is entirely voluntary and at member's own risk;

b) They are solely responsible for monitoring their alcohol consumption and personal conduct;

c) They assume all risks associated with alcohol consumption, including but not limited to impaired judgment, injury, property damage, or legal consequences;

d) MBB makes no representations about alcohol quality, safety, or suitability;

e) They will make responsible transportation arrangements and will not drive while impaired;

f) They release MBB, its officers, directors, employees, and agents from all claims, damages, losses, or expenses related to their alcohol consumption or resulting actions.

MBB reserves the right to refuse alcohol service and remove members who appear intoxicated or engage in inappropriate conduct.

7. Modification of Agreement

MBB reserves the right to modify this agreement at any time. Members will be notified of material changes via email at least 30 days prior to implementation. Continued membership after notification constitutes acceptance of modifications.

8. Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision of this agreement.

9. Force Majeure

MBB shall not be liable for delays or failures in performance resulting from acts beyond its reasonable control, including natural disasters, pandemics, government regulations, or other force majeure events.

10. Governing Law And Venue

This agreement is governed by Texas law without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Collin County, Texas, and members consent to personal jurisdiction in such courts.

11. Dispute Resolution

Prior to filing any lawsuit, parties agree to attempt resolution through good faith negotiation for 30 days. If unsuccessful, disputes may proceed to court as outlined in Section 10.

12. Severability

If any provision is deemed invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, without affecting the validity of other provisions.

13. DISCLAIMERS

MBB PROVIDES ALL SERVICES AND MATERIALS "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• No guarantee of business success, networking outcomes, or member connections;
• No warranty of merchantability, fitness for particular purpose, or non-infringement;
• No professional, legal, financial, or business advice;
• No responsibility for member-generated content or interactions.

Members acknowledge that networking and business results depend on individual effort and market conditions beyond MBB's control.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MBB'S LIABILITY IS LIMITED TO THE ANNUAL MEMBERSHIP FEE PAID BY MEMBER. MBB SHALL NOT BE LIABLE FOR:

• Consequential, incidental, indirect, special, or punitive damages;
• Lost profits, business interruption, or loss of business opportunities;
• Damages arising from member-to-member business relationships or disputes;
• Any damages exceeding the limitation amount regardless of legal theory.

15. Disclaimer on Business Relationships

MBB is not responsible for resolving or being involved in disputes between members who choose to engage in business together. Any business arrangements or interactions between members are independent of MBB's responsibilities. MBB shall not be held liable for any issues, disputes, or agreements arising from such interactions. Members engaging in business relationships with fellow members do so at their own discretion and responsibility.

16. Indemnification

Members agree to defend, indemnify, and hold harmless MBB, its officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses (including reasonable attorney fees) arising from:

a) Member's violations of this agreement;
b) Member's alcohol consumption at MBB events;
c) Member's conduct or actions at MBB events;
d) Any content or information posted by Member;
e) Any business relationships or disputes with other members.

Member Acknowledgment and Agreement

By checking this box, you understand, agree, and attest to the following:

1. I support the mission of MBB to build an inclusive, diverse, and open community and to support the members of this community.
   
2. The information on this application is accurate and will be used to determine my eligibility for membership in MBB.
   
3. I am encouraged to join and participate in other networking groups and am not required to be a member exclusively of MBB.
   
4. If I resign from MBB, or my membership is terminated, my membership and any renewal dues paid are non-refundable.
   
5. MBB reserves the right to change its membership program at any time. We will notify members of substantive changes via the contact information provided by each member.
   
6. I assume full responsibility for any information that I post on the MBB Site or any of its social media pages and warrant that any material posted will not infringe on the privacy, intellectual property, or publicity rights of any third party.
   
7. MBB is not responsible for reviewing and monitoring any information published or distributed by its members through its Site or social media.
   
8. MBB may at any time remove any Member material that it deems in its sole discretion to be offensive or inappropriate.
   
9. I understand and agree that I am not an agent of MBB and that I do not have authority to and will not enter into any agreement or contract on behalf of MBB.
   
10. My membership may be terminated if I breach this Membership Agreement.
    
11. I understand and acknowledge the alcohol consumption and event participation risks outlined in Section 6 and agree to participate in events at my own risk.
